Terms of Service

These Terms of Service ("Terms") govern your purchase and use of TrueProfit software ("Software") provided by David Caruso ("we," "us," or "our"), operating at wafclaw.com. By purchasing or using TrueProfit, you agree to these Terms.
1. Description of Software
TrueProfit is a profit analytics application for Shopify merchants. The Software connects to your Shopify store via the Shopify API and to your advertising accounts (Meta Ads and Google Ads) via OAuth, and calculates net profit per order, per product, and per day by deducting Cost of Goods Sold, shipping costs, Shopify transaction fees, payment processing fees, refunds, and attributed ad spend from order revenue. TrueProfit is a pure software product delivered electronically.
2. License Grant
Upon purchase of a one-time license, we grant you a non-exclusive, non-transferable, perpetual license to use TrueProfit on one (1) Shopify store. This license is for your personal or business use only. You may not sublicense, sell, resell, transfer, or assign the license to any third party.
3. Payment and Billing
The purchase price for TrueProfit is $198.00 USD, payable as a one-time payment. All payments are processed by Paddle.com ("Paddle"), our authorized Merchant of Record. Paddle collects and processes payment on our behalf and issues receipts. By completing a purchase, you also agree to Paddle's terms of service and privacy policy. For all billing inquiries, including refunds, contact Paddle at help@paddle.com.
4. Updates and Support
Your license includes product updates and email support for twelve (12) months from the date of purchase. After this period, the Software continues to operate. Updates released after the first 12 months may require a separate renewal license purchase. Support is provided via email at support@wafclaw.com. Response times are typically within 1–2 business days.
5. Refund Policy
TrueProfit is sold with a 14-day unconditional money-back guarantee. If you are not satisfied with the Software for any reason, you may request a full refund within 14 days of your purchase date by contacting Paddle at help@paddle.com. Refunds are processed by Paddle as the Merchant of Record. The full refund policy is available at wafclaw.com/refund.
6. Acceptable Use
You agree to use TrueProfit only for lawful purposes. You may not:
- Use the Software in a way that violates any applicable law or regulation
- Attempt to reverse engineer, decompile, or disassemble the Software
- Use the Software to store or transmit malicious code
- Attempt to gain unauthorized access to any part of the Software or its infrastructure
- Use the Software on more Shopify stores than covered by your purchased license
7. Shopify App Store Terms
TrueProfit integrates with the Shopify platform via the Shopify API. Your use of TrueProfit must comply with Shopify's API Terms of Service and Partner Program Agreement. You are responsible for maintaining a valid Shopify store account.
8. Data and Privacy
Your use of TrueProfit is also governed by our Privacy Policy, available at wafclaw.com/privacy. We access your Shopify order data and advertising platform data solely to provide the profit calculation features of the Software. We do not sell your data to third parties.
9. Intellectual Property
TrueProfit and all associated intellectual property rights remain the exclusive property of David Caruso. Your license does not grant you ownership of the Software, its source code, or any associated trademarks or copyrights.
10. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DAVID CARUSO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE LICENSE.
12. Termination
We may terminate your license immediately if you breach these Terms. Upon termination, you must cease all use of the Software. Termination does not entitle you to a refund except as provided under the 14-day money-back guarantee.
13. Governing Law
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law provisions. Any disputes shall be resolved in the courts of Palm Beach County, Florida.
14. Changes to Terms
We reserve the right to update these Terms at any time. If we make material changes, we will notify you by email. Your continued use of the Software after the effective date of the updated Terms constitutes acceptance of the new Terms.
